Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sigly (the "Service"), operated by Sigly ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

1. The Service

Sigly lets you design email signatures and deploy them to your team, including through optional integrations with Microsoft 365 and Google Workspace, or by CSV import and self-install links. We may add, change, or remove features over time.

2. Accounts

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. Notify us promptly at [email protected] if you believe your account has been compromised.

3. Plans, billing and renewals

We do not receive or store your full payment card details; those are handled by Stripe under their own terms.

4. Accounts provided through a reseller

If your account was created for you by a reseller or managed service provider, your commercial terms — including price, billing and cancellation — are with that reseller, not with us. Your reseller may suspend or terminate your account. These Terms still govern your use of the Service itself.

5. Your content and your team's data

You retain ownership of the signature designs, logos, images, text and contact details you put into the Service ("Your Content"). You grant us a limited licence to host, process and display Your Content solely to provide the Service to you.

You are responsible for having the right to use everything you upload — including logos, trademarks, images and any personal details of your staff — and for ensuring your signatures comply with any disclosure rules that apply to your industry or country.

6. Connecting Microsoft 365 or Google Workspace

If you connect a Microsoft 365 tenant or Google Workspace domain, you confirm you are authorised by that organisation to grant the access requested. The permissions we request are limited: read-only access to directory information (names, job titles, departments, phone numbers) and, for Google Workspace, the ability to set Gmail signatures. We do not request or access the contents of any mailbox. You may disconnect at any time from your dashboard.

8. Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation. Features that depend on third parties — including Microsoft, Google, and their deployment and propagation schedules — are outside our control. We may perform maintenance that temporarily interrupts access.

9. Disclaimers

Except as expressly stated in these Terms and to the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnity

You agree to indemnify and hold us harmless from claims, damages and reasonable costs arising from Your Content, your use of the Service, or your breach of these Terms — including claims that you lacked authority to connect an organisation's Microsoft 365 or Google Workspace environment.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if providing the Service to you becomes commercially impracticable. On termination, your right to use the Service ends; we will handle any remaining data as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email or a notice in the Service. Continued use after changes take effect means you accept the revised Terms.

14. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
